Utilization of Lenox Corporation (“Lenox’s”) Affiliate Promotional Links Terms & Conditions Usage Terms a. Lenox hereby grants to the affiliate listed below (the “Affiliate”), a limited, non-exclusive, and non-transferable license to use Lenox’s Affiliate Promotional Links for placement on Affiliate’s site without modification, abridgment, or embellishment, for the sole and exclusive purpose of referring potential customers to Lenox. Lenox reserves the right to revoke this license to use the Affiliate Promotional Links, in whole or part, at any time. b. Lenox reserves the right to require Affiliate to modify its use of the Affiliate Promotional Links following Lenox’s review of Affiliate’s site. If Lenox issues formal policies and rules in connection with usage of the Affiliate Promotional Links, Affiliate agrees to promptly conform its use of the Affiliate Promotional Links to said policies, as same may be amended from time to time. c. Affiliate may not use Affiliate Promotional Links to market, promote or endorse the goods, services and/or cause(s) of any other individual and/or entity and/or to otherwise benefit any third party, save for Affiliates referrals in accordance with Lenox’s policies. d. Affiliate agrees that it shall not bid on, register or purchase search engine keywords, domain names, trademarks and/or other identifying search terms and/or titles that are similar to the domain names, trademarks and/or product names owned and/or controlled by Lenox, and/or by any third party to promote Affiliate’s participation in the Program. Affiliate is not permitted to bid on any variation, abbreviation and/or misspelling of the Lenox domain name and/or trademark, at any time, in any search engine. The foregoing restriction shall include,, but not be limited to: Lenox, lenox.com, www.lenox.com, lenoxcom, wwwlenoxcom and/or any other iteration of the foregoing and/or Lenox name. In addition, Affiliate may not cloak and/or mask the foregoing URL’s in paid search campaigns. Affiliate must add "lenox" and "lenox product" as negative keyword matches on any generic terms. Publishers may not bid on "Lenox+coupon" or "Lenox+Coupon Code". Affiliate is not permitted to use Lenox trademarked brand and product names in its display URL. Affiliates and/or publishers that violate these terms and conditions risk deactivation from the program and loss in commissions. The use of toolbars or browser plug-ins for the purpose of applying a cookie or redirecting traffic is prohibited. Any Affiliate found to be using said functionalities and marketing tools will be removed from the program with accrued commissions reversed. Affiliate will not use direct links to any Lenox site, use a registered “lenox.com” domain, or term “official site” when referring to Lenox brand in search marketing. Permission to use the Lenox brand and/or bid on trademark terms may be obtained only with the expressed written permission of Lenox. e. In utilizing the Affiliate Promotional Links, Affiliate agrees that it will cooperate fully with Lenox in order to establish and maintain the consistency and integrity of such Affiliate Promotional Links as they may be modified, enhanced, expanded, curtailed and/or eliminated from time to time by Lenox in its sole and unlimited discretion. f. Affiliate acknowledges that, by participating in the program and/or using any of the Affiliate Promotional Links, Lenox may receive information from or about visitors to Affiliate’s site to track any and all referrals. Trademark Terms a. For the purposes of this Agreement, the term, "Trademark(s)" means all common law or registered trademarks (including all brand and product trademarks), logos, service marks, trade names, Internet domain names, or other indications of origin now or in the future used by Lenox. b. Nothing contained herein grants or shall be construed to grant Affiliate any rights to use any Trademark, except as Affiliate Promotional Links placed on Affiliate’s site. c. Affiliate agrees that it will not use Lenox’s Trademarks in any manner that might tarnish, disparage, or reflect adversely on such Trademarks and/or Lenox. Nor will Affiliate contest or otherwise challenge (e.g., in any legal action or otherwise), or assist or encourage any other person and/or entity to contest or challenge, the validity of any Trademarks or the Trademark rights claimed by Lenox. d. Affiliate agrees that it will not use any Trademark or any variant thereof, including, but not limited to misspellings) as a domain name and/or as part of a domain name regardless of the top-level domain, and/or as a metatag, keyword and/or any other type of programming code or data, except pursuant to written policies issued by Lenox, if any, in connection with the program. e. Affiliate may not at any time, adopt or use, without Lenox's prior written consent, any word or mark which is similar to or likely to be confused with Lenox’s Trademarks, except as Promotional Links placed on Affiliate’s site. f. The look and feel of the Lenox website, including all page headers, custom graphics, button icons, photographs, descriptive language, specifications and scripts, constitutes the trade dress, trademark, service mark, rights of copyright and other intellectual property rights of Lenox and may not be copied, imitated and/or used, in whole or in part, without the prior written consent of Lenox, except as Promotional Links placed on Affiliate’s site. g. Affiliate may not use a Trademark, logo, image and/or other proprietary graphic of Lenox to link to the Lenox website without the prior written consent of Lenox, except as Affiliate Promotional Links placed on Affiliate’s site and used in compliance with the terms of this Agreement. h. Affiliate may not frame or hotlink to the Lenox website or any image other than Affiliate’s own without the prior written consent of Lenox. i. Affiliate may not use any Trademarks to market, promote or endorse the goods and/or services and/or cause of any other individual and/or entity without Lenox’s prior express permission in writing, signed by an authorized officer of Lenox. j. Lenox reserves the right to remove an Affiliate at any time in its sole discretion. Promo Code Restrictions Affiliates are only authorized to advertise promotion codes that are posted on Lenox's affiliate channel on network site or within the advertising interface. Publisher agrees to remove any promotion code from its website upon the request of Lenox's Affiliate Team. Sales generated through unauthorized promotion codes are not commissionable and should be removed immediately. ™ and ™+ Bidding Restrictions Bidding on trademarked Lenox terms or any variations thereof is strictly prohibited. Media Partners may not bid on any brand name + keywords, including Lenox, Lenox Promo Code, Lenox Coupon, Lenox Deals, Lenox Discount, or any other variations or combinations. SEO Restrictions Affiliates may not include Lenox or any variation thereof in their primary URL. Partnering with subnetworks is forbidden in Lenox program.
